What is a UFOC?

by FBR

A UFOC (pronounced “U-Foc” or simply “U-F-O-C”) is a standardized legal document that every franchise company is required by law to have and distribute to prospective franchisees. If you are seriously considering the purchase of a franchise, the franchisor is required to give you a copy of this document at least 10 days before you can sign their franchise agreement.

These documents can seem overwhelming at first, but they are all organized exactly the same way with a series of items (Items 1 – 23) and supporting exhibits. Some the critical information you will find in a UFOC includes: company financials, sample franchise agreement, litigation history, contact list of past and present franchisees, franchise unit terminations, estimated initial investment details, and much more.

UFOCs are great tools for comparing competitive systems and making a list of the pros and/or cons of each franchise opportunity.
